1. Introduction and Acceptance

These Terms of Use (“Terms”) govern access to and use of the Farmium website, platform, and API available at https://farmium.ai and https://app.farmium.ai (the “Service”).

By creating an account, accessing, or using the Service, you (“User”, “you”) confirm that you have read, understood, and agree to be legally bound by these Terms, our Privacy Policy, and our Usage Guidelines. If you do not agree, you must not use the Service.

Where you have entered into a separate Client Service Agreement with Farmium, the terms of that agreement shall take precedence over these Terms to the extent of any conflict.

2. Eligibility

The Service is not intended for individuals under the age of 18. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement.

3. Description of the Service

Farmium is a paid software-as-a-service (SaaS) platform providing tools for social media content creation, management, and deployment at scale. Depending on your subscription plan or agreement, the Service may include:

  • AI-powered creative generation (images and videos) via third-party AI APIs

  • Mass editing and content variation tools (including the Spoofer tool)

  • Workflow creation for creative generation and content deployment

  • Storage of user creatives in our cloud service (“Collections”)

  • Centralised administration and management of social media accounts, including accounts provisioned and maintained by Farmium on your behalf (“Managed Accounts”)

  • Access via the web dashboard, command-line interface (CLI), or API Dashboard Endpoint

  • Data tracking, analytics, and optimisation tools

  • Dedicated support services, including sales consultations, onboarding sessions, training, ongoing support, and other communications with the Farmium team

The specific features, access methods, and Account allocations available to you are determined by your subscription plan or your agreement with Farmium. Not all features are available on all plans.

The Service is a technical tool and workflow platform. The Company does not act as a public network, social media platform, publisher, or content reviewer. Users alone are responsible for ensuring their use of the Service and all content is lawful and complies with all applicable laws and third-party platform terms.

4. Account Registration and Security

4.1 Registration

Access to the Service requires account registration. You agree to provide accurate and complete information and to keep such information up to date. The Service may include early access features, beta tools, or account groups determined by the Company at its discretion.

4.2 Account Security

You are responsible for maintaining the confidentiality of your credentials and for all activity conducted through your account, including through sub-accounts and by any person to whom you grant access. The Company shall not be liable for unauthorised access resulting from your failure to safeguard credentials.

5. Team Accounts, Sub-accounts, and Authorised Users

  • The primary account holder is the legally responsible party for the account and all associated sub-accounts.

  • Managers and administrators may control sub-accounts within the same team.

  • All actions taken by sub-accounts, team members, employees, contractors, or any other person to whom you grant access to the Service (collectively, “Authorised Users”) are deemed actions of the primary account holder. The primary account holder is fully responsible for all fees, compliance obligations, and liabilities arising from the actions of Authorised Users.

6. User Content

6.1 Ownership

Users retain all intellectual property rights in the content they generate, upload, store, manage, distribute, or otherwise process using the Service (“User Content”).

6.2 Licence granted to the Company

By uploading or generating User Content through the Service, you grant the Company a non-exclusive, worldwide, royalty-free, sublicensable licence to store, host, process, reproduce, modify, distribute, and display such User Content solely for the purposes of:

  • providing, operating, and improving the Service;

  • enabling creative generation, editing, workflow automation, deployment, and analytics;

  • distributing your creatives at your instruction or through your configured workflows.

The Company does not use User Content for its own independent marketing or promotional purposes without your involvement or direction.

6.3 Responsibility for content

You acknowledge and agree that:

  • You are solely responsible for all User Content and its use, including content deployed through Managed Accounts.

  • You must not upload or deploy unlawful, infringing, misleading, or prohibited content.

  • You must not upload or process sensitive personal data unless you have a valid lawful basis.

The Company does not monitor, review, or moderate User Content, in order to respect user privacy and confidentiality, and assumes no responsibility for the legality, accuracy, or compliance of such content.

6.4 Feedback

Any suggestions, ideas, or feedback you provide to the Company regarding the Service is non-confidential and you grant the Company a perpetual, irrevocable, royalty-free, worldwide licence to use, modify, and incorporate them.

7. Managed Accounts

7.1 Ownership

Where the Service includes Managed Accounts (social media accounts provisioned and maintained by Farmium), such Accounts are and remain the sole property of Farmium. You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Managed Accounts solely for the purpose of deploying content through the Service during the term of your subscription.

7.2 What you can do

Your use of Managed Accounts is limited to posting content through the Farmium platform (via the dashboard, CLI, or API Dashboard Endpoint). Profile changes (including profile picture, username, display name, and bio) may be requested through your Farmium account manager and will be made by Farmium on your behalf.

7.3 What you must not do

You must not manually log into, access, or interact with Managed Accounts outside of the Farmium platform. You must not change Account credentials, link Accounts to external services, or use third-party automation tools alongside the Service. All Managed Accounts are operated on infrastructure controlled by Farmium, and external access will compromise Account integrity.

7.4 Warmup and delivery

Managed Accounts require a warmup and delivery period (typically 4–6 days). During and after this period, you must follow the operational standards set out in the Farmium Usage Guidelines.

7.5 Account health guarantee

Farmium stands behind the health and integrity of Managed Accounts, subject to the conditions and exclusions set out in the Usage Guidelines. Farmium does not guarantee the performance, reach, engagement, or results of any content posted through the Accounts.

7.6 Upon termination

Upon termination or expiry of your subscription, your licence to use the Managed Accounts ceases immediately. Farmium may reclaim, repurpose, reassign, or otherwise deal with the Accounts at its sole discretion, without any obligation to you. You retain intellectual property rights in your User Content but are responsible for maintaining independent copies.

8. Third-Party Platforms

The Service enables you to deploy content to third-party social media platforms. You acknowledge and agree that:

  • You are solely responsible for compliance with third-party platform terms, policies, and guidelines.

  • The Company is not affiliated with, endorsed by, or responsible for any third-party platform.

  • The Company is not liable for bans, restrictions, removals, enforcement actions, or losses imposed by third-party platforms, except to the extent covered by the account health guarantee for Managed Accounts (see section 7.5 and the Usage Guidelines).

  • Third-party platforms may modify their terms, policies, algorithms, or functionality at any time without notice to Farmium.

9. Company Intellectual Property Rights

9.1 Intellectual property

The Service (including all software, technology, designs, features — whether released or unreleased — workflows, algorithms, user interfaces, API specifications, and related materials, collectively “Company IP”) is and remains the exclusive property of the Company and its licensors. You are granted only a limited, non-exclusive, non-transferable, revocable licence to access and use the Service during your active subscription solely for your internal lawful business purposes in accordance with these Terms. You may not copy, modify, distribute, publicly display, reverse-engineer, decompile, disassemble, or create derivative works of any Company IP. All rights not expressly granted are reserved.

9.2 Prohibition on recording, capturing, and publishing the Service

You shall not, and shall not permit any third party to, record, capture, screenshot, video record, screen-share, stream, broadcast, publish, post, upload, describe in detail, or otherwise reproduce or disclose any portion of the Service, including (but not limited to) the user interface, dashboard, API implementation, endpoints, request/response structures, workflows, features (released or unreleased), Collections, or any visual or output elements. This prohibition applies regardless of whether the material is marked “confidential”. Any such action constitutes a material breach of these Terms.

10. Confidentiality and Non-Disclosure

You acknowledge that you may access Confidential Information of the Company, defined as any non-public information about the Service, including (but not limited to) unreleased or beta features, internal tools, privileged workflows, algorithms, source/object code, dashboard interfaces (including screenshots or recordings), API technical architecture and logistics, technical specifications, business strategies, pricing details not publicly listed on https://farmium.ai/pricing, security measures, or any information that would reasonably be considered proprietary or confidential.

You agree to:

  • maintain it in strict confidence and use at least reasonable care to protect it;

  • use it solely to the extent necessary to use the Service as permitted;

  • not disclose, share, publish, leak, screenshot, record, describe, or otherwise make it available to any third party (including competitors, media, forums, or non-authorised users) without our prior written consent;

  • not use any Confidential Information (directly or indirectly) to develop, assist in the development of, or improve any competing service or product.

This section survives termination of your account for a period of five (5) years. Any breach may cause irreparable harm to the Company, entitling us to immediate suspension or termination of your account without notice, injunctive relief, and damages (including lost profits and legal fees).

11. AI-Generated Content and Third-Party APIs

The Service integrates third-party AI APIs for content generation. You acknowledge and agree that:

  • AI-generated outputs may be inaccurate, incomplete, misleading, non-original, or may infringe third-party intellectual property rights.

  • You are solely responsible for reviewing all AI-generated content for accuracy, legality, originality, and non-infringement before any use or distribution.

  • The Company makes no guarantees regarding legality, originality, or suitability of content generated through third-party AI APIs.

  • Third-party AI providers operate under their own terms and pricing models.

11.1 AI usage limits and consumption-based fees

Subscription tiers may include limits on AI usage. Where such limits are exceeded, you may continue using AI features by purchasing additional consumption-based credits in accordance with the rates displayed on https://farmium.ai/pricing or within the dashboard. Use of this feature constitutes acceptance of such charges.

12. Prohibited Conduct

You agree not to:

  • Use the Service unlawfully, fraudulently, or for any purpose that violates applicable law

  • Deploy content that is illegal, infringing, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable

  • Use the Service for political astroturfing, election interference, or coordinated inauthentic behaviour intended to mislead the public

  • Circumvent, bypass, or interfere with third-party platform safeguards, guidelines, or enforcement

  • Use third-party automation tools alongside the Service

  • Attempt to exploit, reverse-engineer, hack, or gain unauthorised access to the Service, its infrastructure, or other users’ accounts

  • Deploy viruses, malware, or harmful code through the Service

  • Send unsolicited messages, spam, or engage in phishing through the Service

  • Disclose, publish, share, leak, or otherwise make available to any third party any Confidential Information (as defined in section 10)

  • Develop or assist in the development of a competing service using any Confidential Information

  • Resell, sublicense, or otherwise provide access to the Service or Managed Accounts to any unauthorised third party

Violations may result in immediate suspension or termination of your account and may give rise to legal action.

13. Fees, Subscriptions, and Payments

13.1 Subscriptions

The Service is provided on a paid subscription basis. Pricing is available at https://farmium.ai/pricing. Subscriptions are billed in advance on a recurring basis (monthly or annual) and automatically renew for successive identical periods unless you cancel via the account dashboard at least 24 hours before the end of the current period. Cancellation takes effect at the end of the then-current period.

13.2 Payments

Payments are processed by third-party payment processing platforms. The Company does not store full payment credentials.

13.3 No free trials

No free trials are offered unless explicitly stated.

14. Refunds

Refunds are handled on a case-by-case basis, at the Company’s discretion. Users may submit refund requests to hi@farmium.ai. Generally, no refunds are issued for partial subscription periods due to the digital nature of the Service. Nothing in this section limits mandatory rights under applicable law.

15. Suspension and Termination

15.1 Termination by Farmium

Farmium reserves the right to suspend or terminate your account, your access to the Service, or any features at any time if, in our reasonable judgement, your continued use poses a risk to Farmium, the Service, other users, or third parties, or for any legitimate business, operational, legal, or reputational reason. We will endeavour to provide reasonable notice where practicable, but immediate action may be taken without notice where we reasonably believe there is an urgent risk, including (without limitation):

  • Breach of these Terms, the Usage Guidelines, or any applicable agreement

  • Detection of exploits, abuse, or security threats

  • Conduct that is harmful, disruptive, unlawful, or inconsistent with the intended use of the Service

Where you have a separate Client Service Agreement with Farmium, the termination provisions of that agreement shall apply instead of this section 15.1.

15.2 Effects of termination

Upon termination or suspension for any reason:

  • Your licence to use the Service and any Managed Accounts ends immediately.

  • You must immediately cease all use of the Service and export any User Content you wish to retain (we have no obligation to provide it after 30 days).

  • We may delete your data and User Content (unless legally required to retain it).

  • You are not entitled to any refund or compensation, except where required by applicable law.

  • Managed Accounts revert to the exclusive control of Farmium.

  • The following sections survive: Confidentiality and Non-Disclosure, Company Intellectual Property Rights, Managed Accounts (7.6), Indemnification, Limitation of Liability, Governing Law, and any other provision that by its nature is intended to survive.

16. Security and Cyber Incidents

The Company implements reasonable and industry-standard technical and organisational security measures to protect the Service and User Content. However, you acknowledge that no system is completely secure. The Company shall not be liable for unauthorised access, hacking, breaches, or misuse of content caused by events beyond its reasonable control. In the event of a security incident, the Company will take reasonable steps to mitigate impact and comply with applicable legal obligations.

17. Availability and Support

The Service is provided on an “as is” and “as available” basis. No guarantees are made regarding uptime, availability, or response times. Farmium will use commercially reasonable efforts to maintain consistent access to the Service and to address support requests in a timely manner.

18. Disclaimers

To the fullest extent permitted by applicable law:

  • The Company makes no warranties regarding performance, reach, engagement, monetisation, or outcomes.

  • The Service may contain errors or interruptions.

  • Use of the Service is entirely at your own risk.

  • The Company disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

19. Limitation of Liability

To the fullest extent permitted by applicable law, the Company shall not be liable for:

  • Indirect, incidental, consequential, special, or punitive damages

  • Loss of profits, revenue, data, business opportunities, or goodwill

  • Actions by third-party platforms or AI providers

  • User Content, AI-generated outputs, or automated posting results

  • The performance, reach, engagement, or results of content posted through the Service

  • Security incidents beyond reasonable control

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by applicable law.

Where you have a separate Client Service Agreement with Farmium, the liability provisions of that agreement shall apply instead of this section 19.

20. Indemnification

You agree to indemnify and hold harmless the Company, its directors, officers, employees, agents, and affiliates from any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising from:

  • Your use of the Service

  • Your User Content

  • Your violation of these Terms, the Usage Guidelines, or third-party platform rules

  • Exploits, abuse, or unauthorised use of the Service through your account

  • Your breach of sections 9 (Intellectual Property) or 10 (Confidentiality and Non-Disclosure)

  • Any act or omission of your Authorised Users

21. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Delaware, USA. The courts of the State of Delaware shall have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms, except to the extent that mandatory consumer‑protection or other local laws applicable to you cannot be excluded by agreement.

22. Changes to These Terms

We may update these Terms from time to time. Continued use of the Service after the effective date of any update constitutes acceptance of the updated Terms.

23. Miscellaneous

23.1 Force Majeure — We are not liable for delays or failures caused by events beyond our reasonable control, including but not limited to war, natural disasters, epidemic or pandemic, cyberattacks, government actions, changes to third-party platform terms or functionality, internet or telecommunications failures, or power outages.

23.2 Severability — If any provision is held invalid, illegal, or unenforceable, the remainder remains in full force and effect.

23.3 Entire Agreement — These Terms, the Usage Guidelines, the Privacy Policy, and any applicable Client Service Agreement or NDA constitute the entire agreement between you and Farmium.

23.4 Assignment — You may not assign these Terms without our consent; we may assign freely to any affiliate or successor entity.

23.5 Export Controls and Sanctions — You represent that you are not located in, or a national of, any country subject to comprehensive sanctions, and you will comply with all applicable export control laws.
